Start with the filing purpose

Foreign founders, investors, lawyers, accountants and overseas companies often need to prepare documents for a Georgian company-registration step, corporate transaction or representative-authority matter. The translation work should start with a clear filing purpose: who will receive the document, what entity or transaction is involved and which language or format has been requested?

Use the National Agency of Public Registry as the starting point

The National Agency of Public Registry (NAPR) business-registration FAQ says that a founding agreement signed by all founders and duly certified must be submitted to register a legal entity. It also says that, for registration purposes, a document establishing representative authority requires notarization or execution in accordance with the Law of Georgia on Electronic Documents and Electronic Trust Services.

Those official statements are useful starting points, but they do not replace a check of the current procedure for the particular entity, filing and source-country document. Ask the receiving authority or qualified adviser which documents, translations and certifications are required for the matter at hand.

Documents that often need translation preparation

The document set differs by transaction, but may include:

  • an overseas company registry extract or certificate of good standing;
  • constitutional documents or articles of association;
  • shareholder, director or board resolutions;
  • founding agreements and related corporate records;
  • a power of attorney or other document establishing representative authority;
  • identity or signing documents where requested by the recipient;
  • contracts, certificates, declarations or supporting correspondence; and
  • annexes, schedules, notarizations and authentication pages attached to the main document.

Do not assume every item listed here is required for every registration. It is a working inventory to help clients identify the documents that may need review and translation.

Translation quality begins with a complete record

Corporate documents often contain information that must remain consistent across the whole set: legal entity names, registered addresses, registration numbers, share classes, director names, dates, defined terms and signature details.

When sending documents for a quote, include every page. A missing resolution page, seal, schedule, notarial certificate or apostille page can change the translation scope and may create an incomplete final set.

Powers of attorney require purpose-specific review

A power of attorney can be used for different purposes, including company registration and representation. The NAPR guidance above concerns representative authority for registration. It should not be treated as a universal rule for every power of attorney, bank, property transaction or private arrangement.

Before translation, confirm with the receiving institution:

  • whether it requires a Georgian translation;
  • whether it requires a particular notarial form;
  • whether it needs apostille or legalization for a foreign-issued document;
  • whether it requires an original, certified copy or other evidence of authority; and
  • whether it has its own wording or filing requirements.
